These Website Terms & Conditions ("Site Terms") govern access to and use of the C4Cu / Cooper 4 Copper website and platform ("Platform"), operated by A42C Ltd ("C4Cu", "we", "us", "our").
They apply only to use of the Platform and do not replace or override the terms governing copper transactions, which are set out separately in the Governing Documents (defined below).
By accessing, browsing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Site Terms. If you do not agree with any part of these Site Terms, you must not use the Platform.
1. About Us
1.1 C4Cu / Cooper 4 Copper is an online platform operated by A42C Ltd, a company registered in England and Wales (Company No. 16627000), with its registered office at 27 Old Gloucester Street, London, WC1N 3AX.
1.2 The Platform enables users to access information about, and enter into agreements for, the purchase, allocation, sell-back, and physical delivery of LME Grade A copper cathodes.
1.3 C4Cu is not a bank, exchange, brokerage, investment platform, or regulated financial services provider. The Platform is a technical interface only. All copper sales and contractual obligations are entered into between the Buyer and the Seller (A42C Ltd) under the Governing Documents.
2. Scope of These Site Terms
2.1 These Site Terms govern:
- Access to and use of the Platform
- Account registration and management
- Website functionality and content
- Communications and notifications
- User conduct and obligations
2.2 Copper transactions are governed separately by the following documents (collectively, the "Governing Documents"):
- The Master Copper Sale & Allocation Agreement
- Trade Confirmations
- The Sell-Back Policy
- The Delivery Instruction & Logistics Addendum
- The Fee Schedule
- The Risk Disclosure
- The Privacy & Cookie Policy
2.3 In the event of any conflict between these Site Terms and the Governing Documents, the Governing Documents shall prevail to the extent of the inconsistency.
2.4 All Governing Documents are available on the Platform and should be read in full before using the Platform or entering into any transaction.
3. Eligibility
3.1 To use the Platform and open an account, you must:
- Be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction, if higher)
- Have the legal capacity to enter into binding agreements
- Not be a resident or citizen of any jurisdiction in which use of the Platform or the purchase of copper is prohibited or restricted by applicable law or regulation
- Not be subject to any economic or trade sanctions imposed by the United Kingdom, the European Union, the United States, or any other relevant authority
3.2 By registering an account, you represent and warrant that you meet all eligibility requirements set out above. C4Cu reserves the right to verify eligibility at any time and to refuse, suspend, or terminate accounts that do not meet these requirements.
4. Account Registration & Security
4.1 To access certain features of the Platform, you must register an account by providing accurate, complete, and current information as requested during the registration process.
4.2 You are responsible for:
- Maintaining the accuracy and completeness of your account information, including your email address and contact details
- Maintaining the confidentiality of your login credentials (including passwords and any two-factor authentication details)
- All activity that occurs under your account, whether or not authorised by you
- Notifying C4Cu immediately at support@c4cu.com if you become aware of any unauthorised access to or use of your account
4.3 You must not share your login credentials with any third party or allow any other person to access your account. C4Cu shall not be liable for any loss arising from your failure to comply with this requirement.
4.4 C4Cu reserves the right to refuse registration, suspend, or terminate any account at its discretion, including where it reasonably suspects that account information is inaccurate, incomplete, or fraudulent.
4.5 Each individual may hold only one (1) account on the Platform. The creation of multiple accounts by the same individual is prohibited and may result in the suspension or termination of all associated accounts.
5. Communications & Notifications
5.1 By registering an account, you consent to receive communications from C4Cu by email to the email address associated with your account. These communications may include, but are not limited to:
- Transaction confirmations and receipts
- Account status notifications (including dormancy warnings)
- Changes to these Site Terms or the Governing Documents
- Security alerts and verification requests
- Service updates and maintenance notices
5.2 It is your responsibility to ensure that:
- The email address associated with your account is current, valid, and actively monitored
- Emails from C4Cu (including from the domains c4cu.com and cooper4copper.com) are not filtered into spam, junk, or other folders that you do not regularly check
- You add C4Cu email addresses to your safe sender or whitelist to prevent misdelivery
- You update your email address promptly via the Platform if it changes
5.3 C4Cu shall not be responsible for communications that are not received or not read due to incorrect email details, spam filtering, full inboxes, or any other reason outside of C4Cu's control. Notifications shall be deemed delivered when sent by C4Cu to the email address on record, regardless of whether they are actually received or read by the user.
5.4 Notwithstanding Section 5.3, in relation to Dormant Account notifications specifically (see Section 6), C4Cu commits to making reasonable efforts to contact users via multiple channels where possible, as further described in Section 6.
6. Dormant Accounts
6.1 Purpose: The dormant account provisions exist to manage inactive accounts, ensure the security of the Platform, and comply with applicable regulations. They are not intended to penalise long-term holders of copper. Users who maintain periodic activity on their accounts (as described below) will not be affected by these provisions.
6.2 Definition of Activity: For the purposes of this Section, "activity" means any of the following actions performed by the account holder:
- Logging in to the Platform (including via the website or any associated application)
- Completing a purchase, sell-back, or delivery request
- Contacting C4Cu support in writing (email or through the Platform)
- Updating account information or settings
- Responding to any communication from C4Cu that requires acknowledgement
6.3 Dormancy Classification: An account shall be classified as Dormant where there has been no activity (as defined in Section 6.2) for a continuous period of twelve (12) months.
6.4 Notification Process: Before an account is classified as Dormant, C4Cu will make the following notification efforts:
- First Notice (Month 9): Approximately nine (9) months after the last recorded activity, C4Cu will send a courtesy reminder to the email address on record, advising the user that their account is approaching dormancy and that a simple login will reset the inactivity period.
- Second Notice (Month 11): Approximately eleven (11) months after the last recorded activity, C4Cu will send a formal dormancy warning to the email address on record, clearly stating the date on which the account will become Dormant and the consequences of continued inactivity.
- Final Notice (Month 12): Upon classification as Dormant, C4Cu will send a confirmation notice to the email address on record, advising the user that the account has been classified as Dormant and explaining the reactivation process and applicable fees.
C4Cu will make reasonable efforts to deliver these notices successfully. However, as set out in Section 5.3, C4Cu cannot guarantee delivery where the user's email address is invalid, the user's inbox is full, or emails are filtered by the user's email provider. It remains the user's responsibility to ensure their contact details are current and that C4Cu communications are not filtered.
6.5 Reactivation (12–24 Months): Between twelve (12) months and twenty-four (24) months of inactivity:
- The user may request reactivation of the account by contacting C4Cu at support@c4cu.com
- A reactivation fee of USD $75 (or local currency equivalent) shall apply, as set out in the Fee Schedule
- Reactivation is subject to completion of any required identity verification (KYC) and confirmation of current account details
- Upon successful reactivation, the account shall be restored and all allocated copper positions shall be fully reinstated, subject to deduction of any fees lawfully due under the Governing Documents
- The reactivation fee is non-refundable once the account has been reactivated
6.6 Account Closure (24+ Months): Where an account remains inactive for a continuous period of twenty-four (24) months:
- The account shall be permanently closed
- All allocated copper associated with the account shall be forfeited to C4Cu
- No compensation, payment, or credit shall be due to the user
Before permanent closure and forfeiture, C4Cu will send a final closure notice to the email address on record, providing a minimum of thirty (30) days' notice of the intended closure date. During this 30-day notice period, the user may still reactivate the account by contacting C4Cu and paying the applicable reactivation fee.
6.7 Safeguards for Long-Term Holders: C4Cu recognises that some users may wish to hold copper allocations over an extended period without actively transacting. To avoid dormancy classification, users need only perform one (1) of the qualifying activities listed in Section 6.2 at least once every twelve (12) months. A simple login to the Platform is sufficient to reset the inactivity period.
6.8 Exceptional Circumstances: Where a user can demonstrate that their failure to maintain activity was due to exceptional circumstances beyond their reasonable control (such as serious illness, incapacity, natural disaster, or military deployment), C4Cu may, at its sole discretion, consider a request for reinstatement of a closed account and any forfeited copper. Such requests must be made in writing to support@c4cu.com with supporting evidence. Any reinstatement granted under this provision is entirely at C4Cu's discretion and shall not create a precedent or obligation to grant similar requests in the future.
7. User Obligations & Acceptable Use
7.1 You agree that you will:
- Use the Platform only for lawful purposes and in accordance with these Site Terms
- Provide accurate, truthful, and complete information to C4Cu at all times
- Comply with all applicable laws, regulations, and sanctions in your jurisdiction
- Keep your account information and contact details up to date
7.2 You must not:
- Use the Platform in any way that is unlawful, fraudulent, deceptive, or harmful
- Attempt to gain unauthorised access to any part of the Platform, other user accounts, or any systems or networks connected to the Platform
- Introduce any viruses, trojans, worms, malware, or other material that is technologically harmful
- Use any automated system, including bots, scrapers, or spiders, to access the Platform without C4Cu's prior written consent
- Interfere with, disrupt, or place an unreasonable burden on the Platform or its infrastructure
- Impersonate any person or entity, or misrepresent your identity or affiliation
- Use the Platform to transmit unsolicited or unauthorised advertising, spam, or promotional material
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform
- Use the Platform in any manner that could damage, disable, overburden, or impair the Platform
7.3 C4Cu reserves the right to investigate and take appropriate action against any user who, in C4Cu's sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement authorities.
8. Platform Access & Availability
8.1 Access to the Platform is provided on an "as is" and "as available" basis. C4Cu does not warrant that the Platform will be uninterrupted, timely, secure, or error-free.
8.2 C4Cu reserves the right to withdraw, suspend, or amend any aspect of the Platform without notice, including for scheduled or emergency maintenance, system upgrades, or security purposes.
8.3 C4Cu shall not be liable for any loss or damage arising from the unavailability of the Platform, whether due to planned maintenance, technical failures, or circumstances beyond C4Cu's reasonable control.
8.4 The Platform may be subject to limitations, delays, and other issues inherent in the use of internet and electronic communications. C4Cu is not responsible for any delays, delivery failures, or other damage resulting from such issues.
9. Information, Content & No Reliance
9.1 All content on the Platform, including text, data, prices, charts, graphics, and other materials, is provided for general information purposes only and does not constitute an offer, solicitation, recommendation, or advice.
9.2 Prices, market data, and charts displayed on the Platform are indicative only, sourced from third-party providers, and are subject to change without notice. They should not be relied upon for transactional decisions. The actual price at which a transaction is executed may differ from the price displayed on the Platform.
9.3 Nothing on the Platform constitutes financial, investment, legal, tax, or trading advice. You should seek independent professional advice before making any decision relating to copper purchases, sell-backs, deliveries, or any other transaction.
9.4 While C4Cu endeavours to keep the information on the Platform accurate and up to date, C4Cu makes no representations or warranties (express or implied) as to the accuracy, completeness, reliability, or suitability of any information or material on the Platform.
10. No Investment Advice
10.1 C4Cu does not provide investment advice, recommendations, or guarantees of returns. Copper is a physical commodity and its value may go down as well as up.
10.2 Past performance of copper prices is not indicative of future results. Users should review the Risk Disclosure in full before transacting.
10.3 Any decision to purchase, hold, sell back, or take delivery of copper is made entirely at the user's own risk and discretion.
11. Intellectual Property
11.1 All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, is the property of C4Cu or its licensors and is protected by copyright, trademark, and other intellectual property laws.
11.2 You may view and download content from the Platform for your personal, non-commercial use only, provided you do not modify or delete any copyright, trademark, or other proprietary notices.
11.3 No licence or right is granted to you by implication, estoppel, or otherwise to use any trademark, logo, or service mark displayed on the Platform without the prior written consent of C4Cu.
11.4 Any unauthorised use of the Platform's content may violate copyright, trademark, and other applicable laws and could result in civil or criminal penalties.
12. Third-Party Links & Services
12.1 The Platform may contain links to third-party websites, services, or resources. These links are provided for convenience only and do not constitute an endorsement, approval, or recommendation by C4Cu.
12.2 C4Cu has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
12.3 The Platform may rely on third-party service providers for certain functions, including but not limited to payment processing, data storage, identity verification, and market data. C4Cu is not responsible for the acts, omissions, failures, or delays of any third-party provider.
12.4 Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.
13. Privacy & Data Protection
13.1 C4Cu collects and processes personal data in accordance with its Privacy & Cookie Policy, which forms part of the Governing Documents.
13.2 By using the Platform, you acknowledge and agree to the collection, use, and processing of your personal data as described in the Privacy & Cookie Policy.
13.3 C4Cu is committed to protecting the security of your personal data and implements appropriate technical and organisational measures in accordance with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
14. Suspension & Termination
14.1 C4Cu may, at its sole discretion and without prior notice, suspend, restrict, or terminate your access to the Platform and/or your account where:
- You breach any provision of these Site Terms or the Governing Documents
- C4Cu reasonably suspects fraudulent, suspicious, or unlawful activity on your account
- Required by law, regulation, court order, or government authority
- Necessary to protect the security, integrity, or operation of the Platform
- Your account is subject to dormancy provisions (see Section 6)
14.2 Upon termination of your account (other than under the dormancy provisions in Section 6), your rights and obligations under the Governing Documents relating to existing copper allocations shall continue to apply and shall survive termination of these Site Terms.
14.3 You may request to close your account at any time by contacting support@c4cu.com. Account closure does not release you from any obligations incurred prior to closure, and any outstanding fees or charges remain payable.
14.4 Sections of these Site Terms that by their nature should survive termination (including, without limitation, intellectual property, limitation of liability, indemnification, and governing law) shall survive any termination or expiration of these Site Terms.
15. Indemnification
15.1 You agree to indemnify, defend, and hold harmless C4Cu, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform
- Your breach of these Site Terms or any Governing Document
- Your violation of any applicable law or regulation
- Any inaccuracy in information or documentation provided by you
- Any claim by a third party arising from your use of the Platform
16. Limitation of Liability
16.1 To the maximum extent permitted by applicable law, C4Cu, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of opportunity, or loss of goodwill, arising out of or in connection with your use of (or inability to use) the Platform.
16.2 C4Cu's total aggregate liability to you under or in connection with these Site Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed one hundred pounds sterling (£100).
16.3 Nothing in these Site Terms shall exclude or limit C4Cu's liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.
16.4 The limitations and exclusions of liability set out in this Section reflect the allocation of risk between the parties and form an essential basis of the agreement between you and C4Cu.
17. Disclaimers
17.1 The Platform and all content, materials, and services provided through it are provided on an "as is" and "as available" basis, without any representations or warranties of any kind, whether express, implied, or statutory.
17.2 To the fullest extent permissible by applicable law, C4Cu disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
17.3 C4Cu does not warrant that the Platform will meet your requirements, that any errors will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful components.
18. Force Majeure
18.1 C4Cu shall not be liable for any failure or delay in performing its obligations under these Site Terms where such failure or delay results from circumstances beyond C4Cu's reasonable control, including but not limited to:
- Acts of God, natural disasters, epidemics, or pandemics
- War, terrorism, civil unrest, or sanctions
- Strikes, industrial action, or labour disputes
- Failure or interruption of power, telecommunications, or internet services
- Cyberattacks, system failures, or security breaches
- Government actions, regulatory changes, or legal proceedings
- Failures or insolvencies of banks, payment processors, or warehouse operators
18.2 Where a force majeure event continues for more than ninety (90) days, either party may terminate these Site Terms by giving written notice to the other party.
19. Amendments
19.1 C4Cu reserves the right to amend, update, or replace these Site Terms at any time. The most current version will be posted on the Platform with the "Last updated" date at the top of the document.
19.2 Where changes are material, C4Cu will make reasonable efforts to notify users via email or a prominent notice on the Platform. It is your responsibility to review these Site Terms periodically.
19.3 Your continued use of the Platform after any amendment constitutes your acceptance of the updated Site Terms. If you do not agree with any amendment, you must discontinue use of the Platform and contact C4Cu to close your account.
20. Governing Law & Jurisdiction
20.1 These Site Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.
20.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Site Terms, subject to Section 21 below.
21. Dispute Resolution
21.1 If you have a complaint or dispute regarding the Platform or these Site Terms, you should first contact C4Cu at support@c4cu.com. C4Cu will endeavour to resolve the matter informally within a reasonable timeframe.
21.2 If the dispute cannot be resolved informally within thirty (30) days, either party may refer the matter to the courts in accordance with Section 20.
21.3 Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
22. General Provisions
22.1 Entire Agreement: These Site Terms, together with the Governing Documents, constitute the entire agreement between you and C4Cu in relation to your use of the Platform and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
22.2 Severability: If any provision of these Site Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
22.3 Waiver: No failure or delay by C4Cu in exercising any right or remedy under these Site Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy on one occasion shall not be deemed a waiver of that right or remedy on any subsequent occasion.
22.4 Assignment: You may not assign, transfer, or delegate any of your rights or obligations under these Site Terms without C4Cu's prior written consent. C4Cu may assign or transfer its rights and obligations under these Site Terms without your consent, provided that such assignment does not materially diminish your rights.
22.5 No Third-Party Rights: These Site Terms do not confer any rights on any person or entity other than you and C4Cu. No third party shall have any right to enforce any provision of these Site Terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
22.6 Headings: The headings in these Site Terms are for convenience only and shall not affect the interpretation of any provision.
22.7 Language: These Site Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
