These Promotion Terms & Conditions ("Promotion Terms") govern the March 2026 Advertising Campaign promotion ("Promotion") offered by C4Cu / Cooper 4 Copper, operated by A42C Ltd ("C4Cu", "we", "us", "our"). By participating in the Promotion, the user ("Participant", "you", "your") agrees to be bound by these Promotion Terms.
These Promotion Terms should be read together with the C4Cu Website Terms & Conditions, the Master Copper Sale & Allocation Agreement ("Master Agreement"), the Fee Schedule, the Risk Disclosure, and the Privacy & Cookie Policy (collectively, the "Governing Documents"). In the event of any conflict between these Promotion Terms and the Governing Documents, the Governing Documents shall prevail except to the extent that these Promotion Terms expressly provide otherwise in relation to the Bonus Allocation.
1. Definitions
In these Promotion Terms, unless the context otherwise requires:
- "Bonus Allocation" means the allocation of ten (10) kilograms of LME Grade A copper cathodes credited to the Participant's account upon completion of the Qualifying Action, subject to the Profits Only condition set out in Section 6.
- "Grant Price" means the LME Cash Price prevailing at the time the Bonus Allocation is credited to the Participant's account.
- "LME Cash Price" means the official London Metal Exchange Cash Settlement Price for Grade A copper cathodes.
- "Profits Only" means that the Participant is entitled only to the profit (if any) arising from price appreciation of the Bonus Allocation, and that the principal weight remains the property of C4Cu, as further described in Section 6.
- "Promotion Period" means the period commencing on 20 January 2026 and ending at 23:59 (GMT) on 1 March 2026.
- "Qualifying Action" means the Participant's first purchase of physical copper cathodes on the Platform with a minimum quantity of ten (10) kilograms, completed during the Promotion Period.
- "Qualifying Referral Code" means an advertising referral code designated by C4Cu as eligible for this Promotion and distributed through C4Cu's authorised advertising channels.
2. Eligibility
2.1 This Promotion is available to new users who satisfy all of the following conditions:
- The user must register a new account on the C4Cu Platform during the Promotion Period using a valid Qualifying Referral Code.
- The user must be at least eighteen (18) years of age, or the age of majority in the user's jurisdiction, whichever is greater.
- The user must not have previously held or currently hold another C4Cu account. Only one (1) Bonus Allocation is available per individual, per household, and per set of identification documents.
- The user must not reside in a jurisdiction where participation in the Promotion or the purchase of physical copper is prohibited or restricted by applicable law or regulation.
- The user must not be an employee, officer, director, or immediate family member of an employee of A42C Ltd.
2.2 C4Cu reserves the right to determine eligibility in its sole discretion and may refuse participation to any user without obligation to provide reasons.
3. Qualifying Action
3.1 To receive the Bonus Allocation, the eligible Participant must complete the Qualifying Action during the Promotion Period. The Qualifying Action is the Participant's first purchase of physical copper cathodes through the Platform with a minimum quantity of ten (10) kilograms (10 kg).
3.2 The purchase must be completed using the Participant's own funds. Purchases made with funds subsequently reversed, charged back, or found to be fraudulent shall not constitute a valid Qualifying Action.
3.3 The Qualifying Action must be completed within the Promotion Period. Purchases initiated during the Promotion Period but not completed (i.e. cleared funds not received) until after the Promotion Period has ended shall not qualify.
4. Verification Requirements
4.1 C4Cu may require the Participant to complete identity verification (KYC) before crediting the Bonus Allocation, including but not limited to provision of:
- Government-issued photo identification (passport, driving licence, or national identity card).
- Proof of address (utility bill, bank statement, or official correspondence dated within three months).
- Confirmation that the Participant meets the eligibility criteria set out in Section 2.
4.2 Failure to complete verification to C4Cu's satisfaction within fourteen (14) days of a verification request may result in the Bonus Allocation being withheld or forfeited.
5. The Bonus Allocation
5.1 Upon completion of the Qualifying Action (and, where applicable, completion of verification), C4Cu will credit the Participant's account with a Bonus Allocation of ten (10) kilograms of LME Grade A copper cathodes.
5.2 The Bonus Allocation will be recorded on the Participant's account alongside any purchased copper, but shall be separately identified and subject to the Profits Only condition described in Section 6.
5.3 The Grant Price (i.e. the LME Cash Price at the time the Bonus Allocation is credited) will be recorded and displayed on the Participant's account. The Grant Price is fixed at the time of crediting and does not change.
5.4 The Bonus Allocation is typically credited within five (5) Working Days of the Qualifying Action being completed and verified. C4Cu does not guarantee any specific crediting timeline.
6. Non-Tradeable Principal / Profits Only
6.1 The Bonus Allocation is provided on a "Profits Only" basis. This means that the Participant does not acquire full ownership of the Bonus Allocation. The Participant is entitled only to the profit (if any) arising from price appreciation of the underlying copper, subject to the conditions below.
6.2 Principal Ownership: The principal weight of ten (10) kilograms of copper represented by the Bonus Allocation remains at all times the property of A42C Ltd. The Participant has no right to sell, transfer, deliver, encumber, or otherwise dispose of the principal weight.
6.3 Profit Entitlement: The Participant is entitled solely to the profit generated by the price appreciation of the Bonus Allocation. Profit is calculated as follows:
Profit = (Current LME Cash Price - Grant Price) x 10 kg (converted to metric tonnes)
Where the Current LME Cash Price is the prevailing LME Cash Price at the time the Participant submits a valid sell request for the profit component of the Bonus Allocation.
6.4 No Value Where Price Has Not Appreciated: Where the Current LME Cash Price is equal to or lower than the Grant Price, the tradeable value of the Bonus Allocation is zero (nil). The Participant shall have no claim, entitlement, or right to any payment in such circumstances.
6.5 Sell-Back of Profits: Where the Bonus Allocation has accrued a positive profit, the Participant may request a sell-back of the profit component only, subject to the terms of the Sell-Back Policy and the Fee Schedule (including the minimum sell-back value and administration fee). The principal weight of 10 kg shall remain with C4Cu and shall not be included in any sell-back.
6.6 No Physical Delivery: The Bonus Allocation is not eligible for physical delivery under any circumstances. Only copper purchased by the Participant with their own funds may contribute toward the physical delivery threshold set out in the Master Agreement and the Delivery Instruction & Logistics Addendum.
6.7 Illustrative Example: If the Grant Price is USD 9,500 per metric tonne and the LME Cash Price subsequently rises to USD 10,200 per metric tonne, the profit on the 10 kg Bonus Allocation would be calculated as: (USD 10,200 - USD 9,500) x 0.01 = USD 7.00. If the LME Cash Price falls to USD 9,300, the profit would be zero and the Participant would have no entitlement to any payment. This example is for illustration only.
7. Limitation on Combining Promotions
7.1 This Promotion cannot be combined with any other promotional offer, bonus, discount, or incentive programme operated by C4Cu, unless expressly stated otherwise by C4Cu in writing.
7.2 Only one (1) Bonus Allocation per Participant is permitted under this Promotion, regardless of the number of Qualifying Referral Codes used or the number of purchases made.
7.3 This Promotion operates independently of the C4Cu Affiliate Program. Commissions earned by Affiliates under the Affiliate Program Terms are not affected by this Promotion. However, a user who registers through both an Affiliate referral and a Qualifying Referral Code will receive only the Bonus Allocation (not both the Bonus Allocation and an additional Affiliate-related benefit, unless C4Cu expressly provides otherwise).
8. Modification, Suspension & Cancellation
8.1 C4Cu reserves the right, at its sole discretion and at any time, to modify, suspend, extend, or cancel this Promotion (in whole or in part), with or without notice, for any reason, including but not limited to:
- Suspected fraud, abuse, or manipulation of the Promotion.
- Technical errors or failures affecting the Promotion.
- Changes in applicable law, regulation, or regulatory guidance.
- Commercial or operational reasons.
8.2 Where the Promotion is modified or cancelled, C4Cu will make reasonable efforts to notify affected Participants via email or Platform notification. However, C4Cu shall not be liable for any losses, costs, or consequences arising from the modification, suspension, or cancellation of the Promotion.
8.3 C4Cu's decision on all matters relating to the Promotion shall be final and binding.
9. Abuse Prevention & Clawback
9.1 C4Cu reserves the right to investigate any Participant's eligibility and conduct in connection with the Promotion. Where C4Cu determines, in its reasonable opinion, that a Participant has engaged in any of the following, C4Cu may disqualify the Participant and revoke the Bonus Allocation (including any accrued profit):
- Providing false, misleading, or inaccurate information during registration or verification.
- Creating multiple accounts to obtain more than one Bonus Allocation.
- Using the Qualifying Referral Code in a manner not intended or authorised by C4Cu.
- Colluding with other persons to manipulate or abuse the Promotion.
- Engaging in any fraudulent, deceptive, or unlawful activity in connection with the Promotion or the Platform.
- Completing a purchase that is subsequently reversed, charged back, or found to involve funds from illegitimate sources.
9.2 Where a Bonus Allocation or profit has already been paid out and C4Cu subsequently determines that the Participant was ineligible or engaged in abuse, C4Cu may recover the amount paid by deducting it from the Participant's account balance, future sell-back proceeds, or by demanding direct repayment. The Participant agrees to repay any amounts clawed back under this Section promptly upon demand.
9.3 Disqualification and clawback under this Section are without prejudice to any other rights or remedies available to C4Cu, including account suspension or termination under the Website Terms & Conditions.
10. Data Usage During Promotion
10.1 By participating in the Promotion, the Participant acknowledges and agrees that C4Cu will collect and process personal data in connection with the Promotion in accordance with the C4Cu Privacy & Cookie Policy.
10.2 Personal data collected during the Promotion (including registration details, verification documents, and transaction records) may be used for the purposes of administering the Promotion, verifying eligibility, preventing fraud, and complying with legal and regulatory obligations.
10.3 C4Cu may use aggregated and anonymised data relating to the Promotion for analytical and marketing purposes. Such data will not identify individual Participants.
11. Tax Implications
11.1 The Bonus Allocation and any profit derived from it may be subject to income tax, capital gains tax, or other taxes in the Participant's jurisdiction. Tax treatment varies by jurisdiction and individual circumstances.
11.2 C4Cu does not provide tax advice and makes no representation as to the tax treatment of the Bonus Allocation or any profit arising from it.
11.3 The Participant is solely responsible for understanding, reporting, and paying all taxes arising from their participation in the Promotion and from any profit received. The Participant is strongly advised to consult a qualified tax adviser.
11.4 C4Cu does not withhold tax on Bonus Allocations or profit payments except where required by law.
12. Termination & Forfeiture
12.1 C4Cu reserves the right to revoke any Bonus Allocation (including any accrued but unpaid profit) if:
- Fraudulent or abusive activity is suspected or confirmed in connection with the Participant's account or the Promotion.
- The Participant is found to be ineligible under Section 2.
- The Participant's account becomes Dormant in accordance with the Website Terms & Conditions.
- The Participant's account is suspended or terminated for any reason under the Governing Documents.
- The Participant breaches these Promotion Terms or any other Governing Document.
12.2 Upon revocation, the Bonus Allocation shall be removed from the Participant's account and no compensation, credit, or payment shall be due.
12.3 Revocation of the Bonus Allocation does not affect the Participant's purchased copper position (if any), which remains subject to the Master Agreement and other Governing Documents.
13. Liability Limitations
13.1 To the maximum extent permitted by applicable law, C4Cu shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with the Promotion, the Bonus Allocation, or these Promotion Terms.
13.2 C4Cu's total aggregate liability in connection with the Promotion shall not exceed the value of the Bonus Allocation at the Grant Price (i.e. the value of 10 kg of copper at the LME Cash Price at the time of crediting).
13.3 C4Cu does not guarantee that the Bonus Allocation will generate any profit. The Participant acknowledges that copper prices are volatile and that the tradeable value of the Bonus Allocation may be zero at any given time.
13.4 Nothing in these Promotion Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded under the laws of England & Wales.
14. Dispute Resolution
14.1 In the event of any dispute arising out of or in connection with the Promotion or these Promotion Terms, the Participant must notify C4Cu in writing at support@c4cu.com within fourteen (14) days of the event giving rise to the dispute.
14.2 C4Cu will investigate and respond within a reasonable timeframe. C4Cu's internal records shall be the primary and definitive source of evidence in any dispute relating to the Promotion.
14.3 If the dispute cannot be resolved through direct correspondence, the matter shall be subject to the governing law and jurisdiction provisions set out in Section 16.
15. General Provisions
15.1 Severability: If any provision of these Promotion Terms is found to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
15.2 Waiver: Failure by C4Cu to enforce any provision of these Promotion Terms shall not constitute a waiver of that provision or of the right to enforce it subsequently.
15.3 Entire Agreement: These Promotion Terms, together with the Governing Documents, constitute the entire agreement between C4Cu and the Participant in relation to the Promotion.
15.4 No Assignment: The Participant may not assign, transfer, or otherwise dispose of their rights under these Promotion Terms or the Bonus Allocation to any third party.
15.5 Third-Party Rights: These Promotion Terms do not confer any rights on any person or entity other than C4Cu and the Participant. No third party shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Promotion Terms.
16. Governing Law & Jurisdiction
16.1 These Promotion Terms are governed by and construed in accordance with the laws of England & Wales.
16.2 The courts of England & Wales shall have exclusive jurisdiction over any disputes arising from or in connection with the Promotion or these Promotion Terms.
